Terms of Use

These Terms of Use govern your access to and use of the FireRepl platform operated by FireRepl Technologies Ltd (“FireRepl”, “we”, “us”, or “our”). Please read these Terms carefully before using our service.

1. Acceptance of Terms

By creating an account or using FireRepl, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the service.

These Terms apply to all users of the FireRepl platform, including business owners, team members added to a business account, and any person accessing the platform on behalf of a business. By accepting these Terms, you represent that you are at least 18 years old and are legally authorised to bind the business to these Terms.

FireRepl Technologies Ltd reserves the right to update these Terms at any time. We will provide at least 14 days' notice of material changes via email and in-app notification. Continued use of FireRepl after the effective date of an update constitutes acceptance of the revised Terms.

2. Description of Service

FireRepl is a Software-as-a-Service (SaaS) platform that connects your WhatsApp Business number (via Meta Cloud API) to an AI-powered customer service assistant. The assistant handles customer enquiries on your behalf 24/7, based on the business information, products, FAQs, and policies you provide during setup.

FireRepl is designed specifically for Nigerian small and medium-sized businesses. The platform includes: • AI-powered WhatsApp message handling • Conversation dashboard and management tools • Analytics and lead capture • Team collaboration features • Billing and subscription management

FireRepl operates as a technology platform. We are a service provider — we do not conduct business on your behalf, represent your business to your customers, or have any control over the content of your customer relationships.

3. Account Registration

To use FireRepl, you must create an account by providing accurate and complete information, including your name, business name, email address, and phone number. You are responsible for:

  • Maintaining the accuracy of your account information.
  • Keeping your login credentials confidential.
  • All activity that occurs under your account.
  • Notifying us immediately if you suspect unauthorised access to your account at support@firerepl.com.

You may not transfer your account to another person without our written consent. One natural person or business entity may not maintain more than one active FireRepl account. Accounts found to be duplicates may be merged or deleted at our discretion.

4. Subscription & Payment

FireRepl is a paid subscription service. By subscribing, you agree to the following:

Billing: Subscriptions are billed monthly in Nigerian Naira (NGN) via Paystack. Annual plans are billed as a single upfront payment. Prices are displayed on our pricing page and will not change during your current billing period.

Auto-renewal: Subscriptions automatically renew at the end of each billing period at the then-current price unless cancelled before the renewal date.

Free trial: A one-day free trial is available once per account. The trial is non-transferable and non-extendable. No payment is required to start a trial. If you choose a paid plan after your trial, billing begins from the date you subscribe.

Cancellation: You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of the current paid period. There are no pro-rata refunds for partial periods.

Refunds: All payments are non-refundable except where required by Nigerian consumer protection law. If you believe you have been incorrectly charged, contact support@firerepl.com within 30 days of the charge.

Price changes: We will give at least 30 days' notice before increasing subscription prices, effective from your next renewal date.

5. WhatsApp Business API & Meta Compliance

Use of FireRepl requires a Meta Business Account and a WhatsApp Business number registered via the Meta Cloud API. You may connect your WhatsApp Business number to FireRepl using Meta's Cloud API integration — a Meta-hosted authorisation flow. By completing this setup, you authorise FireRepl to send and receive WhatsApp messages on your behalf using your WhatsApp Business Account credentials.

You are solely responsible for complying with the following when using FireRepl:

  • Meta's Terms of Service (facebook.com/terms)
  • Meta's WhatsApp Business Policy (whatsapp.com/legal/business-policy)
  • Meta's Commerce Policy if you sell goods or services via WhatsApp
  • The Nigerian Data Protection Act 2023 and all other applicable Nigerian and international data privacy regulations

You must not use FireRepl to send messages that violate WhatsApp's messaging policies, including:

  • Unsolicited bulk messages or spam
  • Messages to users who have not opted in to receive communications from your business
  • Messages containing illegal content, hate speech, or threats
  • Messages that misrepresent your business identity

FireRepl is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. We are an independent third-party service provider that uses Meta's public API under Meta's Terms of Service.

6. AI Processing

Customer messages processed through FireRepl are sent to OpenAI's API (GPT-4o) to generate replies, and to Whisper for voice note transcription. By using FireRepl, you authorise this processing.

AI accuracy: The AI assistant replies based on the information you provide during setup (knowledge base, products, FAQs, and policies). FireRepl uses reasonable configuration to prevent hallucination and to escalate questions the AI cannot answer accurately. However, AI systems are imperfect, and FireRepl does not warrant that every AI-generated reply will be accurate. You are responsible for monitoring your AI assistant's performance and updating your knowledge base to maintain accuracy.

AI limitations: The AI assistant cannot access real-time stock levels, live delivery tracking, or any external systems unless you explicitly describe their current state in your knowledge base.

Model training: FireRepl uses reasonable technical configuration to prevent your customer data from being used to train OpenAI's models under OpenAI's standard enterprise data handling terms. However, you should ensure your customers are aware that their messages may be processed by AI on your behalf.

7. Acceptable Use

You must not use FireRepl to:

  • Send unsolicited messages (spam) or messages to users who have not consented to receive communication from your business.
  • Promote or facilitate illegal goods or services, including counterfeit products.
  • Harass, threaten, or abuse individuals or groups.
  • Impersonate any other business, person, or entity.
  • Collect personal data from customers without appropriate disclosure.
  • Circumvent Meta's WhatsApp policies or messaging limits.
  • Probe, scan, or test the vulnerability of the FireRepl platform or its infrastructure.
  • Violate any applicable Nigerian or international law, regulation, or treaty.

FireRepl reserves the right to suspend or terminate any account found in violation of this policy, at our sole discretion, without prior notice. Where feasible, we will provide an explanation of the reason for suspension.

8. Intellectual Property

All software, branding, interfaces, algorithms, and technology comprising the FireRepl platform are the intellectual property of FireRepl Technologies Ltd and its licensors. Nothing in these Terms transfers any ownership of FireRepl's intellectual property to you.

You retain full ownership of: • Your business information, product data, and knowledge base content. • Your customer data and conversation histories. • Any original content you create and upload to the platform.

By adding content to FireRepl, you grant us a limited, non-exclusive, royalty-free licence to process, store, and transmit that content solely for the purpose of delivering the FireRepl service to you. This licence terminates when your account is deleted.

9. Termination

By you: You may delete your account at any time from Settings → Account. Upon deletion, your data will be queued for permanent removal within 30 days, during which time you may contact us to request an export.

By FireRepl: We may suspend or terminate your access if you: • Breach any of these Terms. • Fail to pay your subscription after a grace period. • Are required by law, court order, or regulatory directive. • Engage in conduct that poses a security risk to other users or our infrastructure.

Where possible, we will provide 14 days' advance notice before terminating a paid account for non-payment, giving you the opportunity to settle the outstanding balance.

Effect of termination: Upon termination, your access to the platform ceases and your WhatsApp bot is deactivated. Your data is retained for 30 days before permanent deletion, during which you may request an export.

10. Limitation of Liability

FireRepl is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or free from security vulnerabilities.

To the maximum extent permitted by Nigerian law, FireRepl Technologies Ltd shall not be liable for: • Indirect, incidental, special, consequential, or punitive damages. • Lost profits, lost sales, lost customers, or lost business opportunities arising from your use or inability to use the service. • Any AI-generated reply that is inaccurate, incomplete, or causes customer dissatisfaction. • Service interruptions caused by Meta, OpenAI, Paystack, or any other third-party infrastructure we depend on.

Our total aggregate liability to you for any claim arising from your use of FireRepl shall not exceed the total subscription fees you paid in the three (3) months immediately preceding the claim. This limitation applies whether the claim is in contract, tort, or any other legal theory.

11. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or in connection with these Terms shall first be subject to good-faith negotiation between the parties for a period of 30 days. If unresolved, disputes shall be referred to and finally resolved by arbitration in Lagos, Nigeria, under the Arbitration and Conciliation Act (as amended) or, if no arbitration agreement is reached, submitted to the jurisdiction of the Federal High Court of Nigeria.

If any provision of these Terms is found by a court of competent jurisdiction to be unenforceable, that provision will be severed and the remaining provisions shall continue in full force and effect.

12. Changes to Terms

We may update these Terms from time to time to reflect changes in our service, applicable law, or business practices. We will notify you by email and in-app notice at least 14 days before material changes take effect. The effective date of the current Terms is shown at the top of this document.

If you object to any updated Terms, your only recourse is to cancel your subscription and delete your account before the effective date of the change. Continued use of FireRepl after the effective date constitutes acceptance of the updated Terms.
